Please read these Terms of Service carefully before using our services or website. By engaging Misty Valley Bookkeeping — whether through a signed service agreement, a consultation, or use of our website — you agree to the terms outlined below. We've written this in plain language on purpose. If something isn't clear, just ask us.
These Terms of Service ("Terms") govern your use of the services provided by Misty Valley Bookkeeping, owned and operated by Jackie Myers, located at 33260 SE 52nd Street, Fall City, WA 98024 ("we," "us," or "our"). They apply to all clients, prospective clients, and visitors to our website.
These Terms work alongside any individual service agreement or engagement letter you sign with us. If there's a conflict between these Terms and a signed service agreement, the signed agreement takes precedence. Where no separate agreement exists, these Terms govern.
By using our services or contacting us for the first time, you acknowledge that you've read and agree to these Terms. If you don't agree, please don't use our services or website.
Misty Valley Bookkeeping offers professional financial services to small business owners in Washington State, including but not limited to:
Bookkeeping and financial record maintenance
Payroll processing and payroll tax filings
Washington State and local tax compliance
Federal and state tax preparation for small business clients
QuickBooks setup, cleanup, and one-on-one training
Financial consulting for small business owners
Notary and signing agent services
The specific services we provide to you, along with the associated fees and timelines, will be outlined in your individual service agreement or engagement letter. We reserve the right to modify, add, or discontinue services at any time, and will communicate any material changes to active clients in advance.
A good bookkeeping relationship is a two-way street. To allow us to do our job accurately and on time, we ask that you:
Provide accurate, complete information. You are responsible for the accuracy of the financial records, documents, and data you share with us. We work with what you give us — if the information is incomplete or incorrect, the output will be too.
Respond in a timely manner. Some services — particularly payroll and tax preparation — are time-sensitive. Delays in providing requested documents or approvals can affect your filings, compliance standing, or payroll processing.
Keep us informed of changes. If your business structure, ownership, address, employees, or financial accounts change, please let us know promptly. These changes can affect how your books are maintained and what filings may be required.
Review your deliverables. We encourage all clients to review reports, returns, and other deliverables we produce. You are ultimately responsible for the accuracy of information submitted to government agencies under your name or EIN.
Maintain your own records. We are not a document storage service. You should retain copies of all financial records, tax returns, and supporting documents independent of our engagement.
Our fees are agreed upon before services begin, either through a written engagement letter or a verbal confirmation for smaller one-time services. We believe in transparent pricing — you'll always know what you're paying for before we start.
Invoicing: Invoices are issued according to the schedule outlined in your service agreement — typically monthly for ongoing bookkeeping and payroll clients, or upon completion for one-time services.
Payment terms: Payment is due within 15 days of invoice date unless otherwise specified in your service agreement.
Late payments: Accounts that are significantly past due may result in a temporary pause of services until the balance is resolved. We'll always reach out before taking that step.
Scope changes: If the scope of your work increases substantially — for example, if transaction volume grows or additional services are needed — we may adjust our fees. We'll discuss any fee changes with you before they take effect.
A note on taxes: While we provide tax preparation services for small business clients, we are not a law firm and we do not provide legal advice. Tax situations vary, and in complex cases, we may recommend consulting a CPA or tax attorney in addition to our services.
We take confidentiality seriously. Any financial, personal, or business information you share with us is used solely to provide your services. We do not share, sell, or disclose your information to third parties except as required to deliver your services (such as filing with the IRS or Washington State DOR) or as required by law.
We ask for the same in return. Any proprietary information, processes, pricing structures, or materials we share with you in the course of our engagement — including training materials, templates, or custom workflows — are provided for your personal business use only and should not be shared with or resold to others.

We put genuine care and professional expertise into every client engagement. That said, it's important to be transparent about the limitations of our services.
Our work is based entirely on the information you provide us. Misty Valley Bookkeeping is not responsible for errors, omissions, penalties, or losses that result from inaccurate, incomplete, or late information provided by the client. We are also not responsible for errors caused by third-party software platforms (such as QuickBooks or payroll processors) that are outside of our control.
In the event of an error on our part, we will work promptly and at no additional cost to correct it. Our liability in any situation is limited to the fees paid for the specific service in which the error occurred. We are not liable for indirect, consequential, or incidental damages of any kind.
Bookkeeping and tax preparation services do not constitute legal or investment advice. For those needs, please consult a licensed attorney or financial advisor.
Either party may end the engagement at any time, for any reason, with reasonable written notice. "Reasonable notice" in most cases means at least 14 days, though we understand that circumstances sometimes require faster transitions.
Upon termination:
Any outstanding invoices for work completed become immediately due.
We will prepare a final summary of your books through the termination date.
We will return or transfer your financial records in a format suitable for your use or a new provider.
We reserve the right to retain copies of your records as required by law or professional standards.
We reserve the right to terminate the engagement immediately — without prior notice — in cases of fraud, illegal activity, harassment, or failure to pay invoices over an extended period. In such cases, any work completed up to that point will still be invoiced.
Any original templates, training materials, workflows, checklists, or tools that Misty Valley Bookkeeping creates and uses in delivering your services remain our intellectual property. You are welcome to use outputs produced for your business (reports, returns, QuickBooks files, etc.), but the underlying systems and materials we use to create them are ours.
You retain full ownership of all your own financial data, business records, and documents you provide to us.
Our website is provided for informational purposes. While we do our best to keep content current and accurate, we make no warranties about the completeness or accuracy of information on the site. Nothing on our website constitutes professional financial, legal, or tax advice — it's general information only. For advice specific to your situation, please contact us directly.
You agree not to use our website in any way that is unlawful, harmful, or disruptive, and not to attempt to access any systems, data, or areas of the site that are not intended for public use.
We genuinely hope it never comes to this, but if a dispute arises between us, here's how we'd like to handle it. First and foremost — talk to us. Most misunderstandings can be resolved with a straightforward conversation. If a dispute can't be resolved informally, we agree to attempt mediation before pursuing any legal action.
These Terms are governed by the laws of the State of Washington. Any legal proceedings that proceed beyond mediation will be subject to the jurisdiction of the courts in King County, Washington.
We may update these Terms of Service from time to time as our services evolve or as legal requirements change. When we do, we'll update the "Last Updated" date at the top of this page. For active clients, we'll make a reasonable effort to communicate material changes directly. Continued use of our services after changes are posted means you accept the updated Terms.
We're not in the business of springing surprises on our clients. If we make a meaningful change, you'll hear about it from us first.
These Terms of Service, together with any signed service agreement or engagement letter, constitute the entire agreement between you and Misty Valley Bookkeeping regarding the use of our services. They supersede any prior discussions, representations, or agreements — written or verbal — that aren't captured in a signed document.
If any provision of these Terms is found to be unenforceable under applicable law, that provision will be modified or removed to the minimum extent necessary, and the remaining Terms will continue in full force.
